1. Acceptance of These Terms

These Terms of Use (“Terms”) form a legally binding agreement between you and LifeandHomes (“LifeandHomes,” “we,” “us,” or “our”). By accessing, registering for, submitting information to, or using any portion of the LifeandHomes platform, websites, software, or services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms.

You represent that you are at least eighteen (18) years of age and have the legal authority to enter into this agreement. If you do not agree to these Terms, you may not use the Service.

LifeandHomes reserves the right to update or modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of the Service

LifeandHomes provides a technology platform offering marketing, listing distribution, syndication, lead generation, automation, and related tools designed to support real estate professionals and organizations in promoting properties, managing inquiries, and engaging audiences.

The Service includes proprietary software, databases, workflows, interfaces, and systems developed or licensed by LifeandHomes. Features, integrations, and capabilities may evolve over time.

3. Membership, Accounts, and Access

Certain portions of the Service require registration and authentication. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account.

LifeandHomes may establish eligibility criteria, access tiers, or usage limitations and may suspend, restrict, or terminate access where necessary to protect the integrity, security, or lawful operation of the Service.

4. Listings, Content, and Submissions

Users may submit listings, property data, images, videos, descriptions, and other materials (“Submitted Content”) through the Service.

By submitting content, you represent and warrant that you have the right and authority to provide such content and that it complies with all applicable laws, regulations, MLS rules, and advertising standards. You remain responsible for the accuracy and legality of Submitted Content.

You retain ownership of your Submitted Content. However, you grant LifeandHomes a non-exclusive, worldwide, royalty-free license to host, display, distribute, syndicate, reproduce, and technically modify such content as necessary to operate and promote the Service.

LifeandHomes may remove or restrict content that violates these Terms or applicable law.

5. Proprietary Rights and Platform Protection

The Service, including its software, databases, compilation methods, system architecture, workflows, and organizational structures, constitutes proprietary intellectual property of LifeandHomes and its licensors.

Except as expressly permitted, users may not copy, extract, scrape, reproduce, reverse engineer, decompile, disassemble, or create derivative works from any portion of the Service. Use of the Service to build or enhance competing products, databases, or platforms is prohibited.

6. Acceptable Use

You agree to use the Service solely for lawful purposes and in compliance with these Terms.

Misuse of consumer data, unauthorized data extraction, circumvention of access controls, deceptive practices, automated scraping, or actions that interfere with the Service or its users are prohibited. LifeandHomes reserves the right to pursue appropriate remedies for violations.

7. Syndication and Third-Party Platforms

At the direction of users, listings and content may be distributed to third-party websites, portals, or services. LifeandHomes does not control third-party platforms and does not guarantee how content is displayed, retained, modified, or removed by such parties.

LifeandHomes disclaims responsibility for the performance, availability, or policies of third-party platforms.

8. Fair Housing and Regulatory Compliance

All content, listings, and communications submitted through the Service must comply with the Fair Housing Act and all applicable federal, state, and local laws.

Discriminatory language, preferences, or practices are prohibited. LifeandHomes reserves the right to remove non-compliant content and to restrict or terminate accounts that engage in unlawful or discriminatory conduct.

9. No Guarantees; Reliance

The Service is provided to support marketing, visibility, and engagement efforts. LifeandHomes does not guarantee outcomes, lead volume, transaction results, or data accuracy.

Users are solely responsible for evaluating and verifying information before relying upon it.

10. Fees and Billing

Certain features require paid subscriptions. Fees, billing terms, and renewal conditions are disclosed at the time of purchase. Failure to pay may result in suspension or termination of access.

Except where required by law, fees are non-refundable.

11. Suspension and Termination

LifeandHomes may suspend or terminate access to the Service at any time for violations of these Terms, non-payment, unlawful activity, or actions that threaten the security or integrity of the Service.

Upon termination, users must cease use of the Service.

12. Disclaimers

The Service is provided “as is” and “as available.” LifeandHomes disclaims all warranties, express or implied, including warranties of accuracy, fitness for a particular purpose, and uninterrupted availability.

13. Limitation of Liability

To the maximum extent permitted by law, LifeandHomes shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of the Service.

Total liability shall not exceed the amounts paid to LifeandHomes by the user during the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless LifeandHomes from claims, damages, and expenses arising from your use of the Service, Submitted Content, or violation of these Terms.

15. Governing Law and Venue

These Terms are governed by the laws of the State of New York. Exclusive venue lies in state or federal courts located in New York.

16. Entire Agreement

These Terms constitute the entire agreement between the parties regarding use of the Service and supersede prior agreements relating to the subject matter.
